Portugal The Man Concert Access Offer ("Offer") Terms and Conditions

Attendance at the Feed The Beat and The Syndicate Present: Portugal. The Man and Creature World private concert scheduled to take place on June 20, 2023 at Racket NYC in New York, New York (“Event”) and use of the offer website (“Site”) is limited to individuals who are legal residents of the 50 United States and the District of Columbia who are 18 years of age, or the age of majority in their state, or older and are Taco Bell Rewards members and in good standing as of June 12th, 2023 and during any attendance at the Event.  The Site is intended for use only by Taco Bell Rewards members who received an app inbox invitation from Taco Bell (an “Invitation”) (and those other individuals that may be otherwise designated by Taco Bell in Taco Bell’s sole discretion). Invitations are nontransferable and have no cash value.  Employees of Taco Bell Corp. (“Sponsor” or “Taco Bell”) and its affiliated companies, subsidiaries, franchisees and any advertising and promotion agencies associated with this Offer in any way, and members of the immediate families (spouse, siblings, parents, children and their respective spouses) or households of each such employee, are not eligible. Void where prohibited. 

The first fifty (50) eligible Invitation recipients to complete and submit a form on the Site and be verified/notified by Taco Bell, will be placed on the band’s guest list (valid for the verified individual and one (1) guest who is 18 years of age, or the age of majority in their state or older) to attend the Event (“Ticket”).  Ticket recipient will be responsible for any and all taxes associated with the Ticket received. Tickets have no cash value and are nontransferable.  Taco Bell reserves the right to revoke or change the Event, any aspects thereof, or any Ticket terms and conditions at any time. 

Upon notification that participant is eligible to receive a Ticket to the Event, participant must, by June 16th, 2023 (or such other date as determined by Taco Bell in Taco Bell’s sole discretion), confirm in writing that they will attend the Event and execute and return, a Declaration of Eligibility, Liability/Publicity Release signed by both the Ticket recipient and recipient’s guest (where not prohibited by law), and any other documents required by Taco Bell. If any potential Ticket recipient fails to return the required materials by June 16th, 2023 (or such other date as designated by Taco Bell in Taco Bell’s discretion), Taco Bell has the right to select the next eligible participant who completed the applicable form on the Site (or to otherwise distribute the Ticket in Taco Bell’s discretion). Sponsor will provide recipients with additional information regarding ticket redemption. Taco Bell is not responsible for acts outside their control. Taco Bell may substitute the Event ticket, the Event, or any component of the Event, in its sole discretion. Any details relating to the Event not specified herein shall be in Taco Bell’s or the Event organizer’s sole discretion. Each attendee may be required to produce government-issued identification to enter the Event.  Recipient and their guest are responsible for their own costs and expenses associated with the acceptance of the Ticket (including, without limitation, transportation to the Event and costs/expenses incurred at the Event). All taxes and fees and all costs incurred in connection with attending the Event, including, without limitation, all travel and lodging related thereto, are the sole responsibility of the attendee.  The Event may be cancelled, delayed, or postponed in whole or in part for any reason in Taco Bell’s discretion. No compensation will be provided for Tickets that are unusable for any reason, including, without limitation, cancellation, delay, or postponement of the Event. Recipient agrees that Ticket is a revocable, nontransferable license that is personal to that applicable recipient, and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated or otherwise conveyed.  This Offer cannot be combined with other product offers or promotions. 

By attending the Event, each attendee hereby affirms, acknowledges, and agrees that: (i) they understand the highly contagious nature of COVID-19; (ii) they will adhere to all applicable policies, protocols, and procedures implemented by the Event organizers, which may include, without limitation, wearing personal protective equipment, handwashing, and physical distancing; and (iii) they voluntarily and expressly assume the risk that they and/or their guest may be exposed to or infected by COVID-19 by attending the Event. Attendance may be subject to additional terms and conditions, including compliance with certain COVID-19 related protocols such as presentation of proof of full vaccination as set forth by Taco Bell, Event organizers, and/or the applicable local, state or federal regulations. By attending the Event, each attendee further agrees to release and hold harmless Taco Bell and its parent corporations, subsidiaries, advertising and promotion agencies, affiliates, directors, officers, employees, representatives and agents from and against any and all liability claims or actions of any kind whatsoever for any injuries, damages, losses, or claims which may be sustained in connection with or in relation to the Event. 

By visiting the Site, submitting a form on the Site, and/or redeeming this Offer, individuals agree to release, defend, indemnify and hold harmless the Sponsor and its parent corporations, subsidiaries, advertising and promotion agencies, affiliates, directors, officers, employees, representatives and agents from and against any and all liability claims or actions of any kind whatsoever (however named or described) for injuries, death, damages or losses to persons and property which may be sustained in connection with (i) participant’s participation in the Offer; and (ii) the receipt, use or misuse of the Ticket or attendance at the Event. The Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use or misuse of the Ticket. In consideration of the Ticket, each individual hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of such individual’s name, photograph, likeness (including his/her voice), biographical information and statements concerning the Offer, in any and all advertising, promotions and other publicity conducted by the Sponsor, its parents, subsidiaries and affiliates. 

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of any individual or the Sponsor, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of California, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than California. The parties agree that all disputes arising out of or connected with these Terms and Conditions or the Offer will be resolved individually, and without resort to class action. 

THE SPONSOR IS NOT RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO REDEMPTION OF THE OFFER, EVEN IF FORESEEABLE OR EVEN IF THE SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

Sponsor is not responsible for technical, hardware or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications, whether caused by the sender or by any of the equipment or programming associated with, or utilized in, this Offer, or by any human error which may occur in the transmission or processing of the registrations in this Offer.  Sponsor assumes no responsibility for damage caused by computer virus or otherwise, to any computer resulting from participant’s access of the Site or participation in the Offer.  All Internet access and usage charges are the responsibility of the participant.  If for any reason this Offer is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Sponsor, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Offer, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Offer. Persons found tampering with, or abusing any aspect of, this Offer, or whom Sponsor believes to be causing malfunction, error, disruption or damage will be disqualified. Participants must have a valid email address.  In case of dispute as to identity of participant, participant will be the account holder of the email address to which the Offer email was sent.  “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address.
